1. Acceptance of Terms
By accessing or using the VeloSign platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
VeloSign provides an electronic signature platform that enables users to send, sign, and manage documents electronically. The Service includes document preparation, electronic signature collection, audit trail generation, document storage, and related features as described on our website and within the application.
3. Account Registration
To use certain features of the Service, you must register for an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password and accept responsibility for all activities under your account
- Immediately notify VeloSign of any unauthorized use of your account
- Be at least 18 years of age or the age of legal majority in your jurisdiction
4. Subscription Plans and Payment
VeloSign offers Free, Pro, and Business subscription plans. Paid plans are billed monthly or annually as selected at the time of purchase.
- Free Plan: Includes up to 3 documents per month with basic features at no charge.
- Pro Plan ($9.99/month): Includes unlimited documents, custom branding, templates, and standard support.
- Business Plan ($29.99/month): Includes all Pro features plus advanced analytics, unlimited templates, API access, SSO, and priority support.
- All payments are processed securely through Stripe. By subscribing to a paid plan, you authorize VeloSign to charge your payment method on a recurring basis.
- You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds are provided for partial billing periods.
- VeloSign reserves the right to modify pricing with 30 days' written notice. Continued use after the effective date constitutes acceptance of the new pricing.
5. Electronic Signatures and Legal Validity
VeloSign facilitates the creation of electronic signatures that are intended to be legally binding under applicable law, including but not limited to:
- The Electronic Signatures in Global and National Commerce Act (ESIGN Act) in the United States
- The Uniform Electronic Transactions Act (UETA) as adopted by individual U.S. states
- The eIDAS Regulation (EU Regulation No 910/2014) in the European Union
While VeloSign is designed to comply with these regulations, users are responsible for ensuring that the use of electronic signatures is appropriate and legally sufficient for their specific use case and jurisdiction. Certain types of documents (e.g., wills, certain real estate transactions) may require handwritten signatures under applicable law.
6. User Responsibilities
You agree that you will not:
- Use the Service for any unlawful purpose
- Upload documents containing malware, viruses, or harmful code
- Attempt to gain unauthorized access to any part of the Service or its related systems
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service to forge signatures or create fraudulent documents
- Resell, sublicense, or redistribute the Service without written consent
- Reverse engineer, decompile, or disassemble any portion of the Service
7. Intellectual Property
The Service, including its original content, features, and functionality, is owned by VeloSign and is protected by copyright, trademark, and other intellectual property laws. You retain ownership of all documents and content you upload to the Service. By uploading content, you grant VeloSign a limited, non-exclusive license to process, store, and transmit your content solely for the purpose of providing the Service.
8. Data Security
VeloSign employs industry-standard security measures to protect your data, including 256-bit AES encryption at rest, TLS 1.3 encryption in transit, multi-factor authentication, and tamper-evident audit trails. 9. Audit Trails
VeloSign generates a comprehensive audit trail for each document, recording all actions including document creation, viewing, signing, and completion. Audit trails include timestamps, IP addresses, email addresses, and device information. These records are cryptographically secured to prevent tampering and are available for download as a Certificate of Completion.
10. Data Retention and Deletion
Document retention periods vary by plan: Free (30 days), Pro (1 year), and Business (configurable retention policies). You may request deletion of your data at any time by contacting support@velosign.com. Upon account termination, your data will be securely deleted within 30 days, unless retention is required by law.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VELOSIGN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. VELOSIGN'S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO VELOSIGN DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless VeloSign, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.
13. Service Availability
VeloSign strives to maintain 99.99% uptime availability. We reserve the right to perform scheduled maintenance with reasonable notice. VeloSign is not liable for any downtime or service interruptions caused by circumstances beyond our reasonable control, including natural disasters, acts of government, or third-party service failures.
14. Modifications to Terms
VeloSign reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Dallas, Texas.
